1. Introduction
These Terms and Conditions (“Terms”) govern your use of the services provided by Inkio Web Solutions (“we”, “us”, or “our”). By engaging our services, you (“Client”) agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
2. Services
Inkio Web Solutions offers services including, but not limited to, Web Development, E-commerce Development, Branding and Design, SEO Optimization, Website Maintenance, Email Marketing, and Digital Product Design. Specific terms and conditions may apply to particular services.
3. Intellectual Property
- Ownership: All content, including designs, graphics, code, and any other materials created by Inkio Web Solutions, are our intellectual property.
- License: Upon full payment, we grant the Client a non-exclusive, non-transferable license to use the final deliverables for their intended purpose.
- Restrictions: The Client may not resell, distribute, or use the deliverables for any purpose other than what is agreed upon in the project contract without our written consent.
4. Payment Terms
- Invoices: Invoices will be issued according to the milestones agreed upon in the project contract.
- Due Date: Payment is due within 30 days of the invoice date unless otherwise specified.
- Late Payment Penalty: Late payments will incur a penalty of 1.5% per month on the outstanding balance.
- Currency: Payments can be made in USD, EUR, AUD or NGN, as specified in the invoice.
- International Clients: Any additional bank or transaction fees for international payments are the responsibility of the Client.
5. Cancellation and Refund Policy
- Cancellation by Client: The Client may cancel the project by providing written notice. Refunds will be issued based on the work completed up to the cancellation date.
- Cancellation by Inkio Web Solutions: We reserve the right to cancel the project if the Client fails to make payments or breaches any terms. No refund will be issued in such cases.
6. Confidentiality
- Non-Disclosure: Both parties agree to keep all confidential information disclosed during the project private and not to disclose it to any third party without prior written consent.
- Exceptions: This obligation does not apply to information that is publicly available or required to be disclosed by law.
7. Warranties and Disclaimers
- Performance: We warrant that our services will be performed in a professional and workmanlike manner.
- No Guarantee: We do not guarantee specific results from our services, including but not limited to increased traffic, sales, or rankings.
- Limitation of Liability: Inkio Web Solutions will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of our services.
8. Indemnification
The Client agrees to indemnify and hold Inkio Web Solutions harmless from any claims, damages, losses, or expenses arising out of or related to the Client’s use of our services or breach of these Terms.
9. Termination
- By Client: The Client may terminate the project with 30 days’ written notice.
- By Inkio Web Solutions: We may terminate the project if the Client breaches any terms or fails to make payments.
- Effect of Termination: Upon termination, all licenses granted to the Client will be revoked, and the Client must cease using all deliverables.
10. Service Delivery and Acceptance
- Delivery: We will deliver the services as specified in the project proposal or agreement.
- Acceptance: The client must notify us of any issues or concerns within 10 business days of delivery. If no notification is received, the services will be deemed accepted.
11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Nigeria. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
12. Force Majeure
We will not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, and internet outages.
13. Amendments
Inkio Web Solutions reserves the right to amend these Terms at any time. The Client will be notified of any changes, and continued use of our services will constitute acceptance of the revised Terms.
14. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between the parties and supersede all prior agreements or understandings.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
- Waiver: The failure of either party to enforce any provision of these Terms will not be considered a waiver of the right to enforce such provision.
